Zuper AI Standard Terms

The Terms and Conditions described herein constitute a legal agreement (“Agreement” or “Zuper AI Terms”) between you (if your business is a sole proprietorship) or your business (if you are signing up on behalf of a corporation or other legal entity) (the “Merchant”, “you” or “your”, “Customer”) and Zuper, Inc., a Delaware corporation with an office at 24754 NE 3rd Pl, Sammamish, WA 98074 (“Zuper”, “we”, “us”, or “our”). Zuper AI Terms are effective upon the date you agree to it (by electronically indicating acceptance) or when you use Zuper AI whichever is earlier. Zuper AI Terms apply only to the AI Features provided to Customer by Zuper as part of the Services.

1. Zuper Platform Terms

Under the separate Zuper Terms of Service (https://info.zuper.co/en/standard-terms) (the “Zuper Platform Terms”), we provided to you a Field Service Management Software solution designed to help companies streamline their scheduling, dispatching and time tracking operations that enables organizations to digitize, automate and optimize field operations while offering an on-demand customer experience and related support services (collectively, the “Zuper Platform Services”). The Zuper Platform Terms are incorporated herein by reference and by accepting this Agreement you are also accepting the Zuper Platform Terms.

2. Consent to Data Use and AI Integration

By using our services, you acknowledge and consent to our collection, use, and processing of your information, content, and communications (“User Data”) for the improvement, development, and training of our artificial intelligence (AI) models and tools, and for providing our services to you.

This may include, without limitation:

AI Model Training

Your User Data may be used to train and enhance our proprietary AI models to improve the functionality, accuracy, and security of our services.

Third-Party AI Vendors

We may engage third-party AI providers to support the functionality of our services. We use reasonable efforts to prohibit such providers from using any of your personal information for the purposes of developing and improving their AI models. In addition, these third parties are required to implement privacy and security measures consistent with our obligations under applicable data protection laws. Notwithstanding the foregoing, you acknowledge and agree that once integrated with these third-party AI models, your User Data (including any data derived therefrom) may continue to be used, analyzed, and enhanced by both us and our third party providers for ongoing model improvement, product innovation, and other business purposes.

Data Retention

Data used for AI training purposes may be retained as part of our AI model’s knowledge base. We will ensure that retention of any such data complies with applicable laws.

3. Use and Ownership of Input and Output

You may provide input to Zuper's AI Services ("Input") and receive output generated by the AI Services based on that Input ("Output"). Together, Input and Output constitute your "Content." You are solely responsible for your Content, including ensuring that it complies with all applicable laws and these AI Terms of Use.

Zuper and its affiliates retain all rights, title, and interest in and to the AI Services, including any improvements, enhancements, and underlying technology.

As between you and Zuper, and to the extent permitted by applicable law, you (a) retain ownership of your Input, and (b) own the Output. Zuper assigns to you any right, title, or interest it may have in the Output. You represent and warrant that you have all necessary rights, licenses, and permissions to provide Input to the AI Services.

Zuper may use Content to provide, maintain, develop, and improve its Services, comply with applicable law, enforce its terms and policies, market and advertise the Services, and ensure their security and integrity.

Output generated by the AI Services may not always be accurate, complete, or up to date. It may not reflect real people, places, or facts, and should not be relied on as a sole source of truth or professional advice.
Zuper does not verify the accuracy, completeness, or legal clearance of any Content. Zuper makes no warranties or guarantees regarding the reliability, accuracy, or non-infringement of the Output.
By using Zuper’s AI Services, you acknowledge and agree that:
Output may be inaccurate or inappropriate for certain uses.
You must evaluate Output for accuracy, appropriateness, and relevance to your specific use case, including through human review where appropriate, before using or sharing it.
You must not use Output related to a person for decisions that may have legal, financial, or material impact on them, including those related to credit, education, employment, housing, insurance, legal, or medical matters.
Output may contain content that is incorrect, biased, or offensive and does not represent the views of Zuper.
References to third-party products or services in Output do not imply any endorsement or affiliation with Zuper.
Similar or identical Output may be generated for other users.
Zuper may use third-party technology providers in delivering its AI Services. You authorize Zuper and such third parties to store and use your Input for the purpose of providing AI Services, reviewing for misuse or abuse, and improving their respective products and machine learning models.

4. Acceptable Use

You represent and warrant that you will not, and will not permit others to:
Mislead others into believing that any output generated by AI is human-generated;
Include personally identifiable information or sensitive biometric data in Your Data or Input;
Submit content that infringes or violates the intellectual property, privacy, or other rights of any third party;
Include in Your Data, or use AI to generate, any content that:
- Promotes hate, harassment, discrimination, or violence;
- Is illegal, sexually explicit, politically biased, harmful, deceptive, fraudulent, or misleading;
- Misuses personal or confidential information;
- Contains malware, viruses, or unsolicited bulk content; or
- Exploits or endangers minors or encourages self-harm;
Use AI for high-risk activities that could result in economic, physical, or reputational harm, including but not limited to providing financial, legal, or medical advice, or engaging in activities related to adult content, political campaigning or lobbying, or sensitive government functions;
Reverse engineer, decompile, or attempt to discover the source code or underlying components of the AI, except as expressly permitted by applicable law;
Use AI to train, develop, or improve foundation models or other large-scale models that compete with OpenAI or its partners;
Extract data from AI through scraping, data harvesting, web crawling, or similar methods;
Use AI in any country or territory not listed at https://platform.openai.com/docs/supported-countries (or any successor URL); or
Sell, license, or otherwise share any Input provided to or Output generated by AI with any third party.

5. WARRANTY DISCLAIMER

WITHOUT LIMITING THE WARRANTY DISCLAIMER OR THE LIMITATION OF LIABILITY SET FORTH IN ZUPER TERMS OF SERVICE (https://info.zuper.co/en/standard-terms), ZUPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE AI SERVICES, INCLUDING ANY WARRANTIES THAT THE AI SERVICES OR THEIR OUTPUTS WILL BE FREE FROM ERRORS, BIAS, OR OMISSIONS, OR THAT THE OUTPUTS WILL BE UNIQUE, ACCURATE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE. YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM OUR AI SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE. YOU SHOULD SEEK INDEPENDENT PROFESSIONAL ADVICE BEFORE YOU RELY ON ANY OUTPUT GENERATED BY THE AI SERVICES.

6. CHANGES

WE MAY CHANGE THE TERMS OF THIS AGREEMENT FROM TIME TO TIME BY POSTING THE UPDATED AGREEMENT ON THE WEBSITE. THE REVISED TERMS AND CONDITIONS WILL BECOME EFFECTIVE IMMEDIATELY AFTER WE POST THE UPDATED TEXT ON THE WEBSITE. IF YOU USE THE SERVICES AFTER SUCH DATE, SUCH USE WILL CONSTITUTE ACCEPTANCE OF THE REVISED TERMS AND CONDITIONS.
